Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the services provided through Location Square (Locationsquare.com) and/or the Location Square mobile app (collectively, the “Platform”), along with the services available on or through the Platform (collectively referred to as the “Services”). These Terms also incorporate our Privacy Policy and any additional, supplemental terms, policies, or disclaimers that we may provide from time to time (“Supplemental Terms”). In case of any conflict between these Terms and the Supplemental Terms, the Supplemental Terms will take precedence.

The Terms represent a binding and enforceable legal agreement between Location Square Limited (a company registered in England, referred to as “Location Square,” “we,” “us,” or “our”) and you, the user of the Services (“you” or “Customer”). By using the Services, you confirm that you have the full legal authority to agree to and be bound by these Terms.

By using the Services, you acknowledge that you have read, understood, and agree to comply with these Terms. These Terms replace any previous written agreements with you. If you do not agree, you should not use the Services.

(a) Provision of Platform: The “Services” include the provision of the Platform, which facilitates the scheduling and arrangement of various home-based services through independent third-party service providers (“Service Experts”). Location Square acts solely as an intermediary to facilitate payment processing for the Services rendered by the Service Experts. Location Square disclaims any responsibility or liability for the actual provision of the Expert Services.

(b) Expert Services: The services rendered by the Service Experts (the “Expert Services”) are not included as part of the Services provided by Location Square. Service Experts are independent contractors and are not employees, agents, or representatives of Location Square. They shall not have any authority to bind, represent, or act on behalf of Location Square.

(c) Authorised Use of the Platform: The Platform is intended solely for personal, non-commercial use, unless otherwise expressly agreed to in writing by Location Square. Use of the Platform outside of the United Kingdom is subject to the terms applicable to the jurisdiction from which it is accessed.

(d) Intellectual Property and Branding: All intellectual property rights in the Platform, including logos, trademarks, content, and functionality, are and shall remain the sole property of Location Square or its affiliates. You are granted a limited, non-transferable, non-exclusive licence to use the Platform solely in accordance with these Terms.

(e) Electronic Communications: Location Square may send you electronic communications regarding your bookings, use of the Services, and promotional materials. You may opt out of marketing communications by contacting us at support@locationsquare.com. Opting out of such communications may affect Location Square’s ability to provide certain aspects of the Services.

(f) Identity Verification: Location Square reserves the right to request documentation or verification of your identity. Failure to provide the requested information may result in suspension or termination of your access to the Services.

(a) Issuance of Service Credits: Location Square may, in its sole discretion, issue promotional codes that can be redeemed for credits, services, benefits, or other features related to the Services (“Service Credits”).

(b) Use of Service Credits: You agree that:

• You shall use Service Credits only in a lawful manner and solely for the purposes for which they are issued
• You shall not duplicate, sell, transfer, or distribute Service Credits without Location Square’s express prior written consent
• Service Credits may be disabled or invalidated by Location Square at any time, without liability to you
• Service Credits have no cash value and cannot be redeemed for cash
• Service Credits may have an expiration date and may expire before you utilise them

(c) Discretionary Issuance: Location Square may provide Service Credits to select users, which may result in different amounts being charged for identical or similar services.

(d) Revocation of Service Credits: Location Square reserves the right to withhold, revoke, or deduct Service Credits if it reasonably determines that the use or redemption was fraudulent, erroneous, unlawful, or in violation of these Terms.

(a) Account Registration: In order to access and use the Services, you are required to create an account on the Platform (“Account”). By creating an Account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract.

(b) Accuracy of Information: You represent and warrant that all information provided in connection with your Account is true, accurate, current, and complete. Location Square reserves the right to suspend or terminate your Account if any information provided is found to be false, misleading, or incomplete.

(c) Account Security: You are solely responsible for maintaining the security and confidentiality of your Account credentials. You agree to immediately notify Location Square in the event of any unauthorised access or suspected security breach. Location Square shall not be liable for any unauthorised use of your Account or any loss arising from your failure to safeguard your credentials.

(d) Liability for Account Activity: You shall be solely responsible and liable for all activities conducted through your Account, whether by you or by any other person accessing your Account with or without your authorisation.

(e) Communications and Notifications: By creating an Account, you expressly consent to receive communications from Location Square, including notifications related to payments, transactions, Account activity, updates regarding the Services, and promotional communications. You may opt out of marketing communications at any time.

(a) Definition and Scope: The Platform may include interactive features that allow registered users to post, upload, publish, display, transmit, or submit comments, reviews, feedback, suggestions, ideas, or other content (collectively, “User Content”).

(b) Reviews and Quality Control: Location Square may request that you submit reviews regarding Service Experts, and Service Experts may also submit reviews about you. You shall not submit any false, inaccurate, misleading, or defamatory reviews. Location Square reserves the right to suspend or terminate your Account if it determines that you are not an appropriate user of the Platform.

(c) Licence Grant: By submitting or posting User Content, you hereby grant Location Square a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free licence to use, store, host, publish, display, distribute, modify, adapt, and create derivative works from the User Content in connection with the operation and provision of the Services, and for purposes of advertising and promoting the Services.

(d) Waiver of Moral Rights: In connection with the licences granted under this clause, you expressly waive any claims arising from any moral rights or similar rights that you may have in relation to the User Content, to the maximum extent permitted by applicable law.

(e) Content Moderation and Removal: Location Square may, at its sole discretion and without prior notice, remove, restrict access to, or take any other remedial action regarding any User Content that it determines to be in violation of these Terms or applicable law.

(a) Collection and Processing of Personal Data: You acknowledge and agree that Location Square may collect, store, process, and use your personal data in accordance with its Privacy Policy. By using the Services, you expressly consent to such collection and processing of your personal data.

(b) Consent to Data Sharing and Use: You expressly consent to Location Square sharing your personal data with its affiliates and third-party service providers for purposes including the provision and enhancement of the Services, analytics, statistical analysis, targeted promotions, and personalised user experiences.

(c) Disclosure Pursuant to Legal Requirements: You acknowledge and agree that Location Square may be required to disclose your personal data to governmental authorities, law enforcement agencies, or regulatory bodies in connection with legal or investigative proceedings. You expressly consent to such disclosures made in compliance with legal obligations.

(a) Service Requests: The Platform enables you to request various Expert Services at a time of your choosing, subject to the availability of Service Experts. Location Square shall use commercially reasonable efforts to match your request with an available Service Expert.

(b) Booking Confirmation and Payment: Upon submission of a booking request, Location Square shall provide confirmation via SMS, email, or push notification. Your booking shall be deemed confirmed upon receipt of such notification. Payment for the booked Expert Services shall be made in accordance with these Terms.

(c) Cancellations and Fees: Bookings cancelled prior to confirmation shall not incur any charges. However, cancellations made after confirmation may be subject to cancellation fees in accordance with Location Square’s applicable cancellation policy. Location Square reserves the right to deduct applicable cancellation charges from any prepaid amounts.

(d) Substitution of Service Experts: In the event of the unavailability or cancellation of a designated Service Expert, Location Square reserves the right to substitute the originally assigned Service Expert with another registered Service Expert. Such substitution shall not entitle you to any refund or compensation unless otherwise specified under applicable policies.

(a) Right to Charge: Location Square reserves the right to impose charges for the various Services you elect to avail and/or for any additional facilities or features, at any time.

(b) Charges and Fees for Expert Services: With respect to Expert Services, you agree to pay the Service Experts the amount specified at the time of booking, along with any additional sums for supplementary services, out-of-pocket expenses, and costs for goods or materials necessary for the provision of Expert Services (“Charges”). In addition to the Charges, Location Square may charge a facilitation fee (“Fees”). Generally, payments may be made via credit card, debit card, net banking, digital wallets, or cash upon completion. Charges and Fees may be payable at the time of booking or upon completion of the Expert Services.

• Taxes: All Charges and Fees are inclusive of applicable taxes, unless otherwise specified.
• Modification of Charges: Location Square reserves the right to amend the Charges and Fees at its sole discretion. Changes shall not affect bookings confirmed prior to the revision.
• Non-Refundability: The Charges and Fees paid are final and non-refundable, unless otherwise determined by Location Square or required by applicable law.
• Surge Pricing: Charges and Fees may be subject to increase during peak demand periods.

(c) Payment Processors: Location Square may employ third-party payment processors to handle billing. The processing of payments will be subject to the terms and privacy policies of such payment processors. Location Square will not be liable for any errors or issues arising from the payment processor.

(d) Cancellation: You may cancel your service request prior to the arrival of the Service Expert. In such cases, you may be charged a cancellation fee as outlined in Location Square’s cancellation policy.

(e) Subscription Services: Location Square may periodically offer subscription-based packages in exchange for monetary consideration. These will be governed by additional terms and conditions, which shall be deemed an integral part of these Terms.

(f) Gratuities: Location Square does not allocate any portion of the payments you make as a tip or gratuity to Service Experts. While you are free to provide gratuities to Service Experts, you are under no obligation to do so. All gratuities are voluntary.

(a) Non-Discrimination: Location Square strictly prohibits any form of discrimination against Service Experts, including but not limited to discrimination on the grounds of race, religion, national origin, disability, sexual orientation, gender, marital status, age, or any other characteristic protected under applicable law.

(b) Obligation to Treat Service Experts with Respect: You agree to engage with Service Experts in a respectful and courteous manner and to provide them with a safe, clean, and suitable environment for the performance of Expert Services. Location Square reserves the right to suspend, restrict, or terminate your access to the Platform if your conduct is deemed inappropriate, disrespectful, abusive, or unlawful.

(c) Liability for Failure to Provide Appropriate Conditions: You shall be solely liable for any failure to provide Service Experts with a safe, clean, and appropriate environment. You further agree to disclose to both Location Square and the Service Expert any information that may reasonably affect the ability of the Service Expert to perform the Expert Services or that could impact their health or safety.

(d) Mandatory Reporting of Service Expert Misconduct: If a Service Expert engages in conduct that is discourteous, disrespectful, abusive, or unlawful, you are required to report such misconduct promptly to Location Square at support@locationsquare.com no later than 48 hours after the occurrence of the incident.

(a) Third Party Services: The Platform may include or provide access to services, content, documents, or materials owned by, licensed to, or otherwise made available by third parties (“Third Party Services”), including links to such Third Party Services. Third Party Services are the exclusive responsibility of the third party that created, provided, or made them available. Your use of any Third Party Services is at your own sole discretion and risk.

(b) Disclaimer of Warranties and Liabilities: Location Square makes no representations or warranties regarding the accuracy, completeness, quality, or reliability of any Third Party Services. Location Square expressly disclaims all warranties and liabilities relating to or arising from your use of Third Party Services. By engaging with Third Party Services, you agree to be governed by the terms and privacy policies of the respective third-party providers.

(a) Accuracy of Information: You represent and warrant that all information provided by you in connection with the Services is accurate, complete, and truthful. Location Square shall not be liable for any loss or damage arising from the provision of incorrect or misleading information.

(b) Cooperation in Legal Matters: You agree to fully cooperate with Location Square in defending any legal proceedings, claims, or actions arising from your breach of these Terms.

(c) User Content Warranties: In respect of the User Content, you represent and warrant that:

• You own or have obtained all necessary rights, licences, or permissions to provide the User Content
• You are solely responsible for all activities conducted through your account and all User Content
• The User Content does not infringe or misappropriate any intellectual property rights or other proprietary rights of any third party
• The User Content is free from viruses, corrupted data, or any other harmful or disruptive files
• The User Content does not violate the rights of any third parties and does not threaten national security, incite criminal activities, or contain defamatory, harmful, obscene, or discriminatory material

(d) Prohibited Uses: You agree not to use the Services except as expressly permitted under these Terms. Without limiting the foregoing, you shall not:

• Infringe any proprietary rights, including copyrights, patents, or trademarks
• Copy, display, distribute, modify, publish, or create derivative works from the Services without permission
• Transmit or upload materials containing viruses, malware, or other harmful code
• Use automated devices or manual processes to monitor or copy any portion of the Services
• Use the Services in an unlawful manner or for fraudulent or malicious activities
• Decompile, reverse engineer, or disassemble any part of the Services
• Violate any applicable laws in connection with your use of the Services

(e) Solicitation of Service Experts: You shall not, directly or indirectly, solicit or encourage any Service Expert you have engaged through the Platform to provide similar services independently, outside the scope of the Platform.

(a) All rights, titles, and interests in the Services, including any associated intellectual property rights, are owned by or licensed to Location Square. Provided that you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Services solely in accordance with these Terms. All rights not expressly granted to you are reserved by Location Square or its licensors.

(b) From time to time, we may request that you provide suggestions, feedback, or bug reports related to the Services (collectively, “Feedback”). By submitting such Feedback, you agree that Location Square is free to use, copy, modify, distribute, and exploit the Feedback in any manner, without any obligation to provide compensation or acknowledgment.

(c) Nothing in these Terms grants you any rights, title, or licence to use any intellectual property of Location Square or any third party beyond what is expressly set forth herein.

(a) These Terms shall remain in full force and effect unless terminated in accordance with the provisions set forth herein.

(b) We reserve the right to restrict, suspend, or terminate your access to the Services immediately and at our sole discretion if:

• You violate any of your obligations or responsibilities under these Terms
• You cease to be a user of our Services
• You no longer meet the applicable legal or eligibility requirements
• You breach the Community Guidelines

We may also terminate upon 30 days’ prior written notice, or immediately for any legitimate business, legal, or regulatory reason.

(c) You may terminate these Terms at any time, for any reason, by providing written notice to Location Square at support@locationsquare.com.

(d) Upon termination:

• Your Account will expire
• Access to the Services will be terminated
• These Terms will terminate, except for those provisions expressly intended to survive termination

(a) The Services are provided on an “as is” basis without warranty of any kind, express, implied, statutory, or otherwise, including without limitation the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

(b) No advice or information, whether oral or written, obtained by you from us shall create any warranty that is not expressly stated in these Terms.

(c) You agree and acknowledge that Location Square is merely a Platform that connects you with Service Experts, and shall not be liable in any manner for any obligations not explicitly stated in these Terms. Location Square is not liable for the performance of the Expert Services by any Service Expert, or for any acts or omissions of the Service Experts during their provision of Expert Services.

(d) To the fullest extent permissible by law, Location Square disclaims all liability for any loss or damage arising out of:

• Your use of, or inability to use, the Services or Expert Services
• Any defect, interruption, or delays in the operation or transmission of information
• The failure of the Services to remain operational for any period
• The loss of any User Content and any other data in connection with your use of the Services

(e) In no event shall Location Square, its officers, directors, and employees be liable to you for any direct, special, indirect, incidental, consequential, punitive, or exemplary damages, even if Location Square had been advised of the possibility of such damages.

(f) To the maximum extent permitted by law, our liability shall be limited to the amount of commission we receive in respect of a particular booking. In no event shall our total liability to you exceed £200 (Two Hundred Pounds).

(g) Nothing in these Terms will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit.

You agree to indemnify, defend (at our discretion), and hold harmless Location Square, our parent companies, subsidiaries, affiliates, officers, employees, directors, agents, and representatives from and against any and all claims, demands, lawsuits, legal proceedings, losses, liabilities, damages, and costs (including legal fees) arising from or related to:

• Your access to, or use of, the Services or Expert Services
• Your breach of these Terms
• Any third party’s use of your Account in violation of these Terms

A) Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of England. The courts located in the United Kingdom shall have exclusive jurisdiction over any disputes arising out of these Terms or your use of the Services.

B) Dispute Resolution: In the event of any dispute, controversy, or claim arising out of or relating to the use of LocationSquare.com, its services, or these Terms, the parties shall first attempt to resolve the matter through good faith negotiations.

a) Arbitration Agreement: If the dispute is not resolved within 30 days of written notice by either party, it shall be referred to and finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA). The following terms shall apply:

• The arbitration shall be conducted in London, UK
• The arbitration shall be governed by English law
• The proceedings shall be conducted in English
• The arbitration shall be conducted by a sole arbitrator, appointed in accordance with the LCIA Rules
• The arbitrator’s decision shall be final and binding on both parties

b) Costs and Fees: Each party shall bear its own legal fees and costs related to arbitration, unless the arbitrator determines that costs should be allocated differently in the interests of fairness.

c) Exceptions: This arbitration clause shall not prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters such as intellectual property infringement or unauthorised access.

d) Exclusion of Class Actions: Disputes shall be resolved only on an individual basis. No party shall have the right to bring or participate in a class action or any representative proceeding.

C) Governing Law: This arbitration clause shall be governed by and interpreted in accordance with the laws of England and Wales.

(a) If you have any complaints or concerns regarding the Services or these Terms, you may contact our designated Grievance Redressal Officer by email at support@locationsquare.com.

(b) We will ensure that your complaint is addressed within the timelines prescribed by applicable laws.

(a) Changes to Terms: The Terms are subject to revision at any time, and all changes are effective immediately upon being posted on the Platform. It is your responsibility to review these Terms periodically. You will be deemed to have accepted the changes if you continue to use the Platform after they have been posted.

(b) Modification to the Services: We reserve the right at any time to add, modify, or discontinue, temporarily or permanently, the Services (or any part thereof), with or without cause. We shall not be liable for any such addition, modification, suspension, or discontinuation.

(c) Severability: If any provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions of these Terms will continue to be in effect.

(d) Assignment: You shall not licence, sell, transfer, or assign your rights, obligations, or covenants under these Terms without our prior written consent. We may assign our rights to any of our affiliates, subsidiaries, or parent companies without prior notice to you.

(e) Notices: All notices, requests, demands, and determinations for us under these Terms shall be sent to support@locationsquare.com.

(f) Third Party Rights: No third party shall have any right to enforce any terms contained herein.

(g) Force Majeure: We shall have no liability to you if we are prevented from or delayed in performing our obligations by acts, events, omissions, or accidents beyond our reasonable control, including without limitation, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, or compliance with any law or governmental order.
