These Terms and Conditions (“Terms”) govern your use of the services provided through Location Square (Locationsquare.com) and/or the Location Square mobile app (collectively, the “Platform”), along with the services available on or through the Platform (collectively referred to as the “Services”). These Terms also incorporate our Privacy Policy, available at https://locationsquare.com/privacy-policy (“Privacy Policy”), and any additional, supplemental terms, policies, or disclaimers that we may provide from time to time (“Supplemental Terms”). The Privacy Policy and Supplemental Terms are an essential part of these Terms. In case of any conflict between these Terms and the Supplemental Terms concerning applicable Services, the Supplemental Terms will take precedence.
The Terms represent a binding and enforceable legal agreement between Location Square Limited (a company registered in England, along with its affiliates, referred to as “Location Square,” “we,” “us,” or “our”), and you, the user of the Services, or any legal entity booking Location Square Services (as defined below) on behalf of end-users (“you” or “Customer”). By using the Services, you confirm that you have the full legal authority to agree to and be bound by these Terms. If you are acting on behalf of another person or entity, you confirm that you have the necessary authority to bind them to these Terms.
By using the Services, you acknowledge that you have read, understood, and agree to comply with these Terms, as they may be amended from time to time. These Terms replace any previous written agreements with you. If you do not agree with these Terms or cannot comply with them, you should not use the Services.
1. SERVICES
(a) Provision of Platform: The “Services” shall include the provision of the Platform, which facilitates the scheduling and arrangement of various home-based services (“Services”) through independent third-party service providers (“Service Experts”). In connection therewith, Location Square acts solely as an intermediary to facilitate the payment processing for the Services rendered by the Service Experts. Location Square collects payments on behalf of the Service Experts and transmits such payments to them but shall not be deemed to be the provider of the Expert Services. Location Square disclaims any responsibility or liability for the actual provision of the Expert Services.
(b) Expert Services: The services rendered by the Service Experts (the “Expert Services”) are not included as part of the Services provided by Location Square. The term “Services” expressly excludes the Expert Services. Location Square does not itself provide the Expert Services, nor shall Location Square be held responsible or liable for the delivery, performance, or quality of the Expert Services. The Service Experts are solely responsible for the provision of the Expert Services and shall indemnify and hold harmless Location Square and its affiliates from any and all claims, damages, liabilities, or costs arising out of or in connection with the provision of such Expert Services. Service Experts are independent contractors and are not employees, agents, or representatives of Location Square or its affiliates. Service Experts shall not have any authority to bind, represent, or act on behalf of Location Square.
(c) Authorized Use of the Platform: The Platform is intended solely for personal, non-commercial use, unless otherwise expressly agreed to in writing by Location Square pursuant to a separate agreement. The use of the Platform outside of the United Kingdom is subject to the terms and conditions of Location Square applicable to the jurisdiction from which the Platform is accessed or used. By using the Services or Pro Services outside of the United Kingdom, you consent to comply with the applicable laws and regulations governing the use of the Platform in the relevant jurisdiction, and you acknowledge that such use shall be subject to the terms and conditions that are applicable in such jurisdiction.
(d) Intellectual Property and Branding: The Services may be provided under various brands or trademarks owned or licensed by Location Square or its affiliates. All intellectual property rights in the Platform, including without limitation, logos, trademarks, content, and functionality, are and shall remain the sole property of Location Square or its affiliates. You are granted a limited, non-transferable, non-exclusive license to use the Platform solely in accordance with these Terms and Conditions. Any unauthorized use of the Platform or its contents is strictly prohibited.
(e) Electronic Communications: As part of the Services, Location Square may send you electronic communications, including but not limited to, text messages, emails, or notifications through WhatsApp, regarding your bookings, use of the Services, and promotional or marketing materials. You acknowledge and consent to the receipt of such communications. You may opt-out of receiving marketing communications by contacting Location Square at support@locationsquare.com or through the settings provided within the Platform. However, you understand and agree that opting out of such communications may affect Location Square’s ability to provide certain aspects of the Services, including without limitation, transactional or service-related communications.
(f) Identity Verification and Documentation: Location Square reserves the right to request documentation or other verification of your identity in connection with your use of the Services or Expert Services. You hereby agree to comply with such requests in a timely manner. Failure to provide the requested identification or verification information may result in the suspension or termination of your access to the Services or Expert Services, at Location Square’s sole discretion. You further agree to indemnify Location Square from any liability arising from the failure to provide accurate or complete identification information as requested.
2. SERVICE CREDITS
(a) Issuance of Service Credits: Location Square may, in its sole discretion, issue promotional codes that can be redeemed for credits, services, benefits, or other features related to the Services and/or Expert Services, subject to the specific terms and conditions that apply to each promotional code (“Service Credits”).
(b) Use of Service Credits: You agree that (i) you shall use Service Credits only in a lawful manner and solely for the purposes for which they are issued, (ii) you shall not duplicate, sell, transfer, or distribute Service Credits in any manner, including but not limited to posting such codes on public forums or marketplaces, unless you have obtained Location Square’s express prior written consent, (iii) Service Credits may be disabled or invalidated by Location Square at any time, for any reason, and without any liability to you, (iv) Service Credits have no cash value and cannot be redeemed for cash, and (v) Service Credits may have an expiration date, and you acknowledge that they may expire before you utilize them.
(c) Discretionary Issuance: Location Square may, at its sole discretion, provide Service Credits to select users, which may result in different amounts being charged for identical or similar services provided to other users, depending on the terms under which the Service Credits were issued.
(d) Revocation of Service Credits: Location Square reserves the right to withhold, revoke, or deduct Service Credits, or any features or benefits obtained through the use of Service Credits, if Location Square reasonably determines or believes that the use or redemption of the Service Credits was fraudulent, erroneous, unlawful, or in violation of the terms governing Service Credits or these Terms.
3. ACCOUNT CREATION
(a) Account Registration: In order to access and use the Services, you are required to create an account on the Platform (“Account”). As part of the registration process, you may be required to provide certain personal details, including but not limited to your phone number. By creating an Account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract.
(b) Accuracy of Information: You represent and warrant that all information provided in connection with your Account is true, accurate, current, and complete. You further agree to promptly update such information on the Platform in the event of any changes. Location Square reserves the right to suspend or terminate your Account if any information provided is found to be false, misleading, or incomplete.
(c) Account Security: You are solely responsible for maintaining the security and confidentiality of your Account credentials, including but not limited to your username, password, and any authentication methods used to access your Account. You agree to immediately notify Location Square in the event of any unauthorized access, disclosure, or suspected security breach related to your Account. Location Square shall not be liable for any unauthorized use of your Account or any loss or damage arising from your failure to safeguard your Account credentials.
(d) Liability for Account Activity: You acknowledge and agree that you shall be solely responsible and liable for all activities conducted through your Account, whether by you or by any other person accessing your Account with or without your authorization. Location Square disclaims any liability for unauthorized access, misuse, or any consequences arising from the unauthorized use of your Account.
(e) Communications and Notifications: By creating an Account, you expressly consent to receive communications from Location Square, including but not limited to (i) notifications related to payments, transactions, and Account activity, (ii) updates regarding Location Square and the Services, (iii) promotional and marketing communications from Location Square and its third-party partners, and (iv) any other information relevant to your use of the Services. You may opt out of marketing communications at any time; however, certain transactional or service-related communications may be necessary for continued access to the Services.
4. USER CONTENT
(a) Definition and Scope: The Platform may include interactive features that allow registered users to post, upload, publish, display, transmit, or submit comments, reviews, feedback, suggestions, ideas, or other content on or through the Platform (collectively, “User Content”).
(b) Reviews and Quality Control: As part of the quality control and effective provision of the Services, Location Square may request that you submit reviews regarding Service Experts, and you acknowledge and agree that Service Experts may also submit reviews about you. You shall not submit any false, inaccurate, misleading, or defamatory reviews. Location Square reserves the right, in its sole discretion, to utilize such reviews for quality control purposes and to assess whether a customer or Service Expert remains an appropriate user of the Platform. If Location Square determines that you are not an appropriate user, it reserves the right to suspend or terminate your Account and revoke your access to the Platform.
(c) License Grant: By submitting or posting User Content, you hereby grant Location Square a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free license to (i) use, store, host, publish, display, transfer, process, distribute, make available, modify, adapt, translate, create derivative works of, and otherwise grant of rights to the User Content in connection with the operation and provision of the Services, and (ii) use, reproduce, or distribute the User Content for purposes of advertising and promoting the Services, as well as for legal or evidentiary purposes before any court, regulatory authority, or other competent jurisdiction under applicable law.
(d) Waiver of Moral Rights: In connection with the licenses granted under this clause, you expressly waive any claims arising from any moral rights, droit moral, or any similar rights that you may have in relation to the User Content, to the maximum extent permitted by applicable law.
(e) Content Moderation and Removal: You acknowledge and agree that Location Square may, at its sole discretion and without prior notice, remove, restrict access to, or take any other remedial action regarding any User Content that it determines to be in violation of these Terms, applicable law, or any policies of Location Square, or that Location Square otherwise deems inappropriate or objectionable. Location Square shall have no obligation to restore any removed or restricted User Content.
5. CONSENT TO USE DATA
(a) Collection and Processing of Personal Data: You acknowledge and agree that Location Square may collect, store, process, and use your personal data in accordance with its Privacy Policy, which is available at [Insert Privacy Policy URL]. The Privacy Policy outlines the categories of personal data that Location Square collects, the way such data is processed, and the purposes for which it is used. By using the Services, you expressly consent to such collection and processing of your personal data.
(b) Consent to Data Sharing and Use: In addition to any consent granted under the Privacy Policy, you expressly consent to Location Square sharing your personal data with its affiliates and third-party service providers for purposes including, but not limited to, the provision and enhancement of the Services, analytics, trend identification, statistical analysis, targeted promotions, and personalized user experiences. Location Square may further use such information to develop beneficial schemes, introduce new offers, and improve the efficiency and effectiveness of its Services.
(c) Disclosure Pursuant to Legal and Regulatory Requirements: Subject to applicable laws, you acknowledge and agree that Location Square may be required to disclose your personal data to governmental authorities, law enforcement agencies, regulatory bodies, or other competent entities in connection with legal, regulatory, or investigative proceedings, including but not limited to criminal or civil investigations. You expressly consent to such disclosures and understand that Location Square shall not be liable for any consequences arising from such disclosures made in compliance with legal obligations.
6. BOOKINGS
(a) Service Requests: The Platform enables you to request various Expert Services at a time of your choosing, subject to the availability of Service Experts. To initiate a booking, you must follow the instructions provided on the Platform and provide all necessary information. Location Square shall use commercially reasonable efforts to match your request with an available Service Expert. In the event that no Service Expert is available for the requested timeslot, Location Square reserves the right to contact you and propose an alternative time.
(b) Booking Confirmation and Payment: Upon submission of a booking request, Location Square shall provide confirmation via SMS, email, or push notification. Your booking shall be deemed confirmed upon receipt of such notification. You acknowledge and agree that payment for the booked Expert Services shall be made in accordance with these Terms and as stipulated on the Platform. Once a Service Expert has been designated for the requested Expert Services, Location Square shall notify you via the Platform, SMS, email, or push notification.
(c) Cancellations and Fees: Bookings that are cancelled prior to confirmation on the Platform shall not incur any charges. However, cancellations made after confirmation may be subject to cancellation fees in accordance with Location Square’s applicable cancellation policy( link of cancellation policy), as amended from time to time. You acknowledge and agree that Location Square reserves the right to deduct applicable cancellation charges from any prepaid amounts or to charge such fees to your designated payment method.
(d) Substitution of Service Experts: In the event of the unavailability or cancellation of a designated Service Expert, Location Square reserves the right, at its sole discretion, to substitute the originally assigned Service Expert with another registered Service expert. You acknowledge and agree that such substitution shall not entitle you to any refund or compensation unless otherwise specified under applicable policies.
7. PRICING, FEES, AND PAYMENT TERMS
(a) Right to Charge: LocationSquare.com (“Location Square”) reserves the right to impose charges for the various Services you elect to avail and/or for any additional facilities or features you opt for, as available through the Platform, at any time.
(b) Charges and Fees for Expert Services:
(i) With respect to Professional Services ( Expert Services) that you seek to avail via the Platform, you agree to pay the Service Experts the amount specified at the time of booking, along with any additional sums for: (a) any supplementary Expert Services you may request, (b) out-of-pocket expenses incurred by the Service Experts , and (c) costs for the purchase of goods or materials necessary for the provision of the Expert Services (“Charges”). In addition to the Charges payable to the Service Experts, Location Square may charge a facilitation fee for coordinating the booking and remitting payment to the Service Experts, which will be referred to as “Fees.” You understand that your final bill may include additional charges, including but not limited to safety fees, warranty fees, insurance fees, or any fees related to the welfare of the Service Experts.
(ii) Location Square will notify you of the applicable Charges, Fees, and available payment methods during the booking process. Generally, payments for Expert Services may be made via credit card, debit card, net banking, digital wallets or cash upon completion of the Expert Services. Location Square reserves the right to alter or limit available payment methods at its sole discretion. You acknowledge that payment methods such as cash upon completion may not always be available. If you choose to pay by “cash upon completion,” you agree to pay both the Charges and Fees directly to the Service Expert.
(iii) Charges and Fees may be payable at the time of booking, or upon completion of the Expert Services, as specified by Location Square.
(iv) For clarity, the Charges are payable directly to the Service Experts, with Location Square acting solely as a limited collection agent on behalf of such Service Experts, facilitating the collection and transfer of funds.
(v) Taxes: All Charges and Fees are inclusive of applicable taxes, unless otherwise specified.
(vi) Modification of Charges and Fees: Location Square reserves the right to amend the Charges and Fees at its sole discretion. Any changes in Fees shall not affect bookings that have been confirmed prior to the publication of the revised Fees on the Platform.
(vii) Non-Refundability: The Charges and Fees paid by you are final and non-refundable, unless otherwise determined by Location Square or required by applicable law. In accordance with applicable consumer protection laws, you may be entitled to a refund or other remedies in cases of failure to provide the Services.
(viii) Surge Pricing: You acknowledge that the Charges and Fees for Expert Services in certain geographical areas may be subject to increase during peak demand periods. While Location Square will make reasonable efforts to inform you of the prevailing Charges and Fees, you are responsible for all Charges and Fees incurred under your Account, regardless of your awareness of such changes.
(c) Payment Processors: Location Square may employ third-party payment processors (“Payment Processors”) to handle billing via your selected payment method. The processing of payments will be subject to the terms, conditions, and privacy policies of such Payment Processors, in addition to these Terms. Location Square will not be held liable for any errors or issues arising from the Payment Processor. In the event of a failed payment, the amount debited will be credited in accordance with the Payment Processor’s terms.
(d) Cancellation: You may cancel your service request prior to the arrival of the Service Expert. In such cases, you may be charged a cancellation fee as outlined in Location Square’s cancellation policy. Location Square reserves the right to charge you or deduct applicable taxes related to such cancellation fees.
(e) Subscription Services: Location Square may periodically offer subscription-based packages (“Subscription Plans”) in exchange for monetary consideration. These Subscription Plans may provide you with additional benefits, such as discounted Expert Services. Subscription Plans will be governed by additional terms and conditions, which shall be deemed an integral part of these Terms.
(f) Gratuities: Location Square does not allocate any portion of the payments you make as a tip or gratuity to Service Experts. Any representation suggesting that tipping is “voluntary,” “not required,” or “included” in your payment for Expert Services is not intended to imply that Location Square makes any additional payments to Service Experts. While you are free to provide gratuities to Service Experts for services rendered, you are under no obligation to do so. All gratuities are voluntary.
8. CUSTOMER CONDUCT
(a) Non-Discrimination: LocationSquare.com (“Location Square”) strictly prohibits any form of discrimination against Service Experts, including but not limited to discrimination on the grounds of race, religion, caste, national origin, disability, sexual orientation, gender, marital status, gender identity, age, or any other characteristic protected under applicable law. Discriminatory conduct includes, but is not limited to, the refusal to request, accept, or avail of Expert Services based on such protected characteristics.
(b) Obligation to Treat Service Experts with Respect: You agree to engage with Service Experts in a manner that is respectful, courteous, and in accordance with the highest standards of professionalism. You further agree to provide Service Experts with a safe, clean, and suitable environment for the performance of Expert Services. If you fail to provide an appropriate environment, or if your conduct towards a Service Expert is deemed to be discourteous, disrespectful, abusive, or otherwise inappropriate, Location Square reserves the right to permit the Service Expert to refuse the provision of Expert Services. Location Square, at its sole discretion, may also suspend, restrict, or terminate your access to the Platform and/or Services in the event that your conduct is deemed inappropriate, disrespectful, abusive, or unlawful.
(c) Liability for Failure to Provide Appropriate Conditions and Discriminatory Actions: You shall be solely liable for any failure, whether intentional or unintentional, to provide Service Experts with a safe, clean, and appropriate environment for the provision of Expert Services. Additionally, you shall bear responsibility for any discriminatory actions directed towards Service Experts, whether by omission or commission. Furthermore, you agree to disclose to both Location Square and the Service Expert any information that may reasonably affect the ability of the Service Expert to perform the Expert Services or that could impact their health, safety, or well-being during the course of providing such services.
(d) Mandatory Reporting of Service Expert Misconduct: If a Service Expert engages in conduct that is discourteous, disrespectful, abusive, unlawful, or otherwise in violation of applicable laws, you are required to report such misconduct promptly to Location Square’s designated grievance officer at support@locationsquare.com. Such reports must be submitted no later than forty-eight (48) hours after the occurrence of the incident.
9. THIRD PARTY SERVICES
(a) Third Party Services: The Platform may include or provide access to services, content, documents, information, or materials owned by, licensed to, or otherwise made available by third parties (“Third Party Services”), including links to such Third Party Services. You acknowledge and agree that Third Party Services are the exclusive responsibility of the third party that created, provided, or made them available. Your use of any Third Party Services is at your own sole discretion and risk.
(b) Disclaimer of Warranties and Liabilities: LocationSquare.com (“Location Square”) makes no representations or warranties, express or implied, regarding the accuracy, completeness, quality, or reliability of any Third Party Services. Location Square expressly disclaims all warranties and liabilities relating to or arising from your use of Third Party Services. By engaging with Third Party Services, you agree to be governed by the terms and conditions and privacy policies of the respective third-party providers. Furthermore, all intellectual property rights associated with Third Party Services remain the property of the respective third parties.
9. YOUR RESPONSIBILITIES
(a) Accuracy of Information: You represent and warrant that all information provided by you in connection with the Services and/or Expert Services is accurate, complete, and truthful as of the date you agree to these Terms. You agree to update such information promptly to reflect any changes during the term of these Terms. LocationSquare.com (“Location Square”) shall not be liable for any loss, damage, or other consequence arising from the provision of incorrect, incomplete, or misleading information, or your failure to disclose any material fact when availing the Services.
(b) Cooperation in Legal Matters: You agree to fully cooperate with Location Square in defending any legal proceedings, claims, or actions arising from your breach of these Terms.
(c) User Content Warranties: In respect of the User Content, you represent and warrant that:
(i) You own or have obtained all necessary rights, licenses, or permissions to provide the User Content and grant the rights set forth in these Terms;
(ii) You are solely responsible for all activities conducted through your account and all User Content;
(iii) The User Content does not and will not breach any obligations or responsibilities under other agreements;
(iv) The User Content does not and will not infringe or misappropriate any intellectual property rights or other proprietary rights, including privacy or publicity rights of any third party;
(v) The User Content is free from viruses, corrupted data, or any other harmful, disruptive, or destructive files or content;
(vi) The User Content does not violate the rights of any third parties; and
(vii) The User Content (A) does not belong to any third party to which you do not have a valid right, (B) does not threaten national security or public order, incite criminal activities, or insult any nation, (C) is not defamatory, harmful, obscene, discriminatory, or unlawful, and (D) does not restrict or inhibit others from using or enjoying the Services.
(d) Prohibited Uses: You agree not to use the Services except as expressly permitted under these Terms. Without limiting the generality of the foregoing, you shall not:
(i) Infringe any proprietary rights, including copyrights, patents, trademarks, or trade secrets of any party;
(ii) Copy, display, distribute, modify, publish, reproduce, store, transmit, or create derivative works from the Services, except as expressly permitted under these Terms;
(iii) Transmit or upload any materials containing viruses, malware, or other harmful code designed to disrupt, damage, or limit the functionality of any software or hardware;
(iv) Use automated devices or manual processes to monitor or copy any portion of the Services;
(v) Engage in the systematic retrieval of content from the Services for the creation of a collection, compilation, database, or directory;
(vi) Use the Services in an unlawful manner, for fraudulent or malicious activities, or in any manner inconsistent with these Terms;
(vii) Decompile, reverse engineer, or disassemble any part of the Services;
(viii) Link to, mirror, or frame any portion of the Services without the express written consent of Location Square;
(ix) Violate any applicable laws in connection with your use of the Services.
(e) Interference with Services: You warrant that you shall not engage in any activity that disrupts or interferes with the Services.
(f) Unauthorized Access: You shall not attempt to gain unauthorized access to any portion of the Services, any connected systems or networks, servers, or features of the Platform, by hacking, password mining, or any other illegitimate means.
(g) Solicitation of Service Experts: You shall not, directly or indirectly, solicit or encourage any Service Expert you have engaged through the Platform to terminate their registration or engagement with the Platform or to provide similar services independently, outside the scope of the Platform. You acknowledge that this restriction is necessary to protect the privacy and security of Service Experts and maintain the integrity of the Platform. You further agree that the potential harm to Service Experts from the non-enforcement of this clause outweighs any potential harm to you.
10. INTELLECTUAL PROPERTY RIGHTS
(a) All rights, titles, and interests in the Services, including any associated intellectual property rights, are owned by or licensed to LocationSquare.com (“Location Square”). Provided that you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely in accordance with these Terms and any written instructions we may provide from time to time. All rights not expressly granted to you in these Terms are reserved by Location Square or its licensors.
(b) From time to time, we may request that you provide suggestions, feedback, or bug reports related to the Services (collectively, “Feedback”). By submitting such Feedback, you agree that Location Square is free to use, copy, modify, distribute, and exploit the Feedback in any manner, without any obligation to provide compensation, acknowledgment, or consent, and without any restrictions based on your intellectual property rights.
(c) Except as expressly set forth in theseA Terms, nothing in these Terms grants you any rights, title, or license to use any intellectual property of Location Square or any third party.
11. TERM AND TERMINATION
(a) These Terms shall remain in full force and effect unless terminated in accordance with the provisions set forth herein.
(b) We reserve the right to restrict, suspend, or terminate your access to the Services, or any part thereof, (i) immediately and at our sole discretion, if:
(A) you violate any of your obligations or responsibilities under these Terms,
(B) you cease to be a user of our Services,
(C) you no longer meet the applicable legal or eligibility requirements, or do not adhere to the standards and policies set by Location Square or its affiliates,
(D) you breach the Community Guidelines;
(ii) upon 30 days prior written notice to you, or
(iii) immediately, for any legitimate business, legal, or regulatory reason.
(c) You may terminate these Terms at any time, for any reason, by providing written notice to Location Square at support@locationsquare.com.
(d) Upon termination of these Terms:
(i) Your Account will expire,
(ii) Access to the Services will be terminated,
(iii) These Terms will terminate, except for those provisions which are expressly intended to survive termination or expiration.
12. DISCLAIMERS AND WARRANTIES
(a) The Services are provided on an “as is” basis without warranty of any kind, express, implied, statutory or otherwise, including without limitation the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Without limiting the foregoing, we make no warranty that the Services will meet your requirements or expectations.
(b) No advice or information, whether oral or written, obtained by you from us shall create any warranty that is not expressly stated in the Terms.
(c) While Location Square strives to provide accurate information about Expert Services and Charges, pricing errors may occur from time to time.
(d) You agree and acknowledge that we are merely a Platform that connects you with Service Experts, and we shall not be liable in any manner for any obligations that have not been explicitly stated in these Terms. We are not liable or responsible for fulfilment of any bookings, for the performance of the Expert Services by any Service Expert, or for any acts or omissions of the Service Experts during their provision of the Expert Services including any damage they may cause to property. By booking Expert Services through the Platform, you are entering into a contract with the relevant Service Expert for the provision of those services, and we accept no responsibility or liability, nor do we make any warranty, representation, or guarantee in respect of the Service Expert’s performance under that contract.
(e) You agree and acknowledge that soliciting or receiving services from any Service Expert independently is solely at your own risk, and in such an event, you waive any rights that you may have under these Terms.
(f) We do not guarantee or warrant, and we make no representation whatsoever regarding the reliability, quality, or suitability of the Service Experts.
(g) You hereby accept full responsibility for any consequences that may arise from your use of the Services and Expert Services, and expressly agree and acknowledge that we shall have absolutely no liability in this regard.
(h) Location square will maintain a complaints management framework and will manage this framework on behalf of Service Experts in a reasonable manner and in accordance with the non-excludable requirements of relevant applicable laws.
(i) To the fullest extent permissible by law, we, our affiliates, and our related parties, each disclaim all liability for any loss or damage arising out of, or due to:
(i) your use of, or inability to use, or availability or unavailability of the Services or the Expert Services;
(ii) the occurrence or existence of any defect, interruption, or delays, in the operation or transmission of information to, from, or through the Services, communications failure, theft, destruction, or unauthorized access to our records, programs, services, servers, or other infrastructure relating to the Services;
(iii) the failure of the Services to remain operational for any period; and
(iv) the loss of any User Content and any other data in connection with your use of the Services.
(j) In no event shall Location Square, its officers, directors, and employees, or its contractors, agents, licensors, partners, or suppliers, be liable to you for any direct, special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation, lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever, including but not limited to any abuse or breach of data), even if Location Square or an authorized representative had been advised of the possibility of such damages, arising out of, or relating to (A) these Terms, (B) the Services or the Pro Services, (C) your use or inability to use the Services or the Pro Services, or (D) any other interactions with another user of the Services.
(k) To the maximum extent permitted by law, our liability shall be limited to the amount of commission we receive in respect of a particular booking made on the Platform. In no event shall our total liability to you in connection with these Terms exceed £ 200 (Two Hundred Pounds only).
(l) Nothing in these Terms will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit.
13. INDEMNITY
You agree to indemnify, defend (at our discretion), and hold harmless us, our parent companies, subsidiaries, affiliates, and our officers, employees, directors, agents, and representatives from and against any and all claims, demands, lawsuits, legal proceedings, losses, liabilities, damages, and costs (including but not limited to damages, liabilities, settlements, and legal fees) arising from or related to your access to, or use of, the Services or Expert Services, your breach of these Terms, or any third party’s use of your Account in violation of these Terms.
14. JURISDICTION, GOVERNING LAWS, AND DISPUTE RESOLUTION
A) Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England. Subject to other provisions of this clause, the courts located in United Kingdom shall have exclusive jurisdiction over any disputes arising out of these Terms or your use of the Services.
B) Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to the use of LocationSquare.com, its services, or these Terms and Conditions (including their formation, interpretation, breach, termination, or validity), the parties shall first attempt to resolve the matter through good faith negotiations.
a) Arbritration Agreement
If the dispute is not resolved within 30 days of written notice by either party, it shall be referred to and finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA). The following terms shall apply:
a) The arbitration shall be conducted in London, UK.
b) The arbitration shall be governed by English law.
c) The proceedings shall be conducted in English.
d) The arbitration shall be conducted by a sole arbitrator, appointed in accordance with the LCIA Rules.
e) The arbitrator’s decision shall be final and binding on both parties.
b ) Costs and Fees
Each party shall bear its own legal fees and costs related to arbitration, unless the arbitrator determines that the costs should be allocated differently in the interests of fairness.
c) Exceptions
This arbitration clause shall not prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters such as intellectual property infringement, unauthorised access, or misuse of confidential information.
d) Exclusion of Class Actions
Disputes shall be resolved only on an individual basis. No party shall have the right to bring or participate in a class action, collective arbitration, or any representative proceeding.
C) Governing Law
This arbitration clause shall be governed by and interpreted in accordance with the laws of England and Wales.

16. MISCELLANEOUS PROVISIONS
(a) Changes to Terms: The Terms are subject to revision at any time, as determined by us, and all changes are effective immediately upon being posted on the Platform. It is your responsibility to review these Terms periodically for any updates or changes. You will be deemed to have accepted the changes made to these Terms if you continue to use the Platform once it has been posted.
(b) Modification to the Services: We reserve the right at any time to add, modify, or discontinue, temporarily or permanently, the Services (or any part thereof), with or without cause. We shall not be liable for any such addition, modification, suspension, or discontinuation of the Services.
(c) Severability: If any provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions of these Terms will continue to be in effect. If any unlawful or unenforceable provision would be lawful or enforceable if a part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect (unless that would contradict the clear intention of the clause, in which case the entirety of the relevant provision will be deemed to be deleted).
(d) Assignment: You shall not license, sell, transfer, or assign your rights, obligations, or covenants under these Terms, or your Account in any manner without our prior written consent. We may grant or withhold this consent at our sole discretion, subject to any conditions we deem appropriate. We may assign our rights to any of our affiliates, subsidiaries, or parent companies, any successor in interest of any business associated with the Services, or any third party without any prior notice to you.

(g) Force Majeure: We shall have no liability to you if we are prevented from or delayed in performing our obligations, or from carrying on our business, by acts, events, omissions, or accidents beyond our reasonable control, including without limitation, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, or compliance with any law or governmental order, rule, regulation, or direction.
